Terms and condition under pilot project
scheme for allocating 70 % space/ counter in leading Retail
Showrooms spread all over country(List of showroom enclosed)
1. Under Pilot Project Scheme UPICA adopts professional and modernised marketing approach by providing opportunities to private enterprises / firms / weaving Societies and other capable agencies to avail 70 % space/ Counter in UPICAs leading retail showrooms spread in most of the important metro cities of INDIA. The scheme invites interested Parties by offering above facility on return of 20 % against the target with the conditions as detailed below.
2. The first party, i.e, Any Firms/Societies/Other agency which, if approved/ selected by UPICA shall have to give an undertaking on Rs 100/- non-judicial stamp paper of accepting terms & Conditions of UPICA. The contract between 1st and 2nd party i.e, UPICA, shall initially be set for 3 years but could be extended of the party exhibits good sales performance and appreciable behaviour or goodwill.
3. The party accepting this contract, shall return to UPICA 20 % of total retail sale target of Rs 10 lacs, 15 % against retail sale of between Rs 10 lac to Rs 25 lacs and 10 % over retail sale of 25 lacs. Even if the party fails to achieve the above target, minimum of 20 % against retail sale of Rs 10 lacs have to be remitted/returned to UPICA.
4. The showroom (space/counter) will be handed over in as it is in condition to the 1st party. It is the will of part to renovate /decorate showroom at its own cost. The right of the ownership will be retained with UPICA. The opening & closing of the showroom will be adopted through double lock system. One key will be kept by the 1st party i.e, any firm/society/other agency selected for contract whereas the other key will be kept by the 2nd party, i.e, UPICA. The 70 % space/ counter will be utilised by the 1st part and 30 % space counter will be utilised by the 2nd party. i.e, UPICA, wherein the 1st part shall have no interference in the space utilised by the 2nd party. The 1st party can display its name / names of the firms/Societies or agencies as sales promoter on UPICA’s main display board/ Glowsign board at the entrance of the showroom.
5. The 1st party shall bear 70 % of cost of electricity consumption whereas the 2nd party UPICA will bear 30 % of the cost. Any other cost incurred on renovation of the showroom / publicity etc will be borne by the 1st party , the salary cost of UPICA’s the staff deputed at the showroom and rent of the showroom will be borne by the 2nd party i.e, UPICA.
6. UPICA’s Cash Memo will be used for sales. The maintenance of the stock or goods will be responsibility of the 1st party.
7. The first part will keep exquisite products in varying range/ style /design and colour compatible to the market demand with competitive rate infrastructure.
8. The 1st part shall maintain stock entries i.e, stock-in and stock out details. The sales journal will be signed by both the parties. Everyday sales as per sales journal shall be deposited in the Bank. The Bank deposit slip will be retained by the UPICA staff where as cash etc will be supervised by the 1st party or its representative deputed. The entire profit will be collected in equally in 9 months which will be remitted/returned to the 2nd party i.e, UPICA from the fourth month, but the 1st party will have to remit the some amount in case,even if the party does not achieve the minimum target as fixed for example If the minimum sale target is 10 lacs The 1st party will have to remit remit Rs 22,223/- per month starting from fourth month in any case.
9. The 1st part will bear the cost of Insurance or any other tax etc if levied.
10. Any dispute arising out of breach/violation of rules/norms or in case of indiscipline etc , it will be in the powers or jurisdiction of M.D. to finish the contract with notice of 3 months. If the 1st party voluntarily withdraw the contract, it will have to clear the liability subject to the condition of minimum returns etc.
11. The 1st part shall only promote retail counter sale. The part will not procure any Govt. Order. In special case if any order is procured and which is deemed to be profitable to the organization, even then the party will have to seek permission from the Headquarter of UPICA.
12. If export orders procured through Mumbai, Jaipur, Kolkata, Hyderabad, Ahemdabad & Delhi showrooms prior permission to execute such Orders is mandatory from Headquarter of UPICA.
13. The 1st party should have atleast 5 years of business experience in similar or allied trades with a minimum of Rs 25 lacs turnover. Last 3 years report on sales alongwith account clearance certificate verified by C. A. must be enclosed.
14. The 1st party shall have to submit a Bank draft as security deposit of Rs 1 Lac on acceptance of the contract as security deposit which will be relaxable as per the conditions prevailing, if found necessary in specific cases, to decide such instances, powers to decide or negotiate are vested with Managing Director, UPICA. The deposit will be reconciled at the end of closing year.
15. Every day sale/purchase and stock details will also be maintained by UPICA’s staff in separate registrar and such information will be conveyed to the MIS Section UPICA, Headquarter regularly UPICA also reserves the right to inspect the showrooms at any time.
